These Terms of Service ("Terms") govern your access to and use of the LocalNinja website at localninja.io (the "Site") and all related services, including our Google Business Profile assessment, audit, optimization, and management services (collectively, the "Services").
By accessing the Site or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.
Our Services are available to businesses and individuals located in the United States who are at least 18 years of age. By using our Services, you represent that you meet these requirements and have the authority to bind the business entity you represent.
LocalNinja provides the following services:
To use certain Services, you may be required to provide accurate and complete information about yourself and your business. You agree to keep this information current and accurate. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.
The Profile Audit & Optimization service is a one-time payment of $49. Growth Management pricing is determined on a per-client basis and will be communicated before any charges are made. All prices are in U.S. dollars.
Payment is due at the time of purchase for one-time services. For monthly services, payment is due at the beginning of each billing cycle. We accept major credit cards and other payment methods as indicated on the Site.
If you are unsatisfied with a paid Service, you may request a refund within 14 days of delivery of the service. Refund requests should be sent to info@localninja.io. We reserve the right to deny refund requests made after the 14-day period or in cases of abuse.
Certain Services may require you to grant us access to your Google Business Profile. By doing so, you confirm that you are the authorized owner or manager of the profile. We will only access your profile for the purpose of delivering the Services you have purchased. You may revoke access at any time, though this may affect our ability to deliver ongoing Services.
All content on the Site — including text, graphics, logos, icons, and software — is the property of LocalNinja or its licensors and is protected by U.S. copyright and trademark laws. You may not reproduce, distribute, or create derivative works from our content without prior written consent.
Reports, assessments, and recommendations delivered to you as part of our Services are licensed for your internal business use only and may not be resold or redistributed.
Our Services are provided "as is" and "as available." While we strive to provide accurate and helpful recommendations, we do not guarantee specific results, including but not limited to improved search rankings, increased traffic, or higher revenue. Google's algorithms and policies are outside our control and may change at any time.
To the fullest extent permitted by law, LocalNinja shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or Services. Our total liability for any claim arising from the Services shall not exceed the amount you paid for the specific Service giving rise to the claim.
You agree to indemnify and hold harmless LocalNinja, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. For monthly services, either party may cancel with 30 days' written notice. Upon termination, your right to use the Services immediately ceases.
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the state or federal courts located in California.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Your continued use of the Site or Services after changes constitutes acceptance of the updated Terms.
